Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Zion Noah Social Command Center ("Platform"), operated by Zion Noah Capital ("Company," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Eligibility and Account Registration

The Platform is intended for use by commercial loan brokers, real estate professionals, and their authorized team members. By using the Platform, you represent that:

• You are at least 18 years of age
• You are using the Platform for lawful business purposes only
• You have the authority to bind any business entity on whose behalf you are acting
• All information you provide during registration is accurate and current

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. Permitted Use

You may use the Platform to:

• Create, schedule, and publish social media content for your business
• Manage and track leads generated from your social media activity
• Generate AI-assisted content ideas, captions, and post outlines
• Connect and manage authorized social media platform accounts
• Track engagement metrics and content performance analytics

You may not use the Platform to:

• Publish content that is false, misleading, or violates applicable lending regulations (RESPA, TILA, CFPB guidelines)
• Spam, harass, or send unsolicited communications to leads or prospects
• Violate the terms of service of any connected social media platform
• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Use the Platform to store or process sensitive personal financial data beyond what is necessary for lead tracking
• Share your account credentials with unauthorized third parties

3. Social Media Platform Integrations

When you connect a social media account to the Platform, you acknowledge and agree that:

• You are solely responsible for all content published through the Platform to your social media accounts, including compliance with each platform's community guidelines and advertising policies.
• You authorize the Platform to act as your agent to publish content, retrieve engagement metrics, and manage connections within the scopes you grant during OAuth authorization.
• The Company is not responsible for any suspension, restriction, or termination of your social media accounts by third-party platforms.
• API availability and publishing capabilities are subject to each platform's terms and may change without notice.

4. AI-Generated Content

The Platform includes AI-powered tools that generate content suggestions, captions, hooks, and post ideas. By using these features, you acknowledge that:

• AI-generated content is provided as a starting point and may require review and editing before publication to ensure accuracy and compliance with applicable regulations.
• You are solely responsible for reviewing all AI-generated content before publishing, particularly content related to loan products, rates, terms, and eligibility requirements.
• The Company makes no warranty that AI-generated content is accurate, complete, or compliant with CFPB, FTC, or state-specific lending advertising regulations.
• Content prompts you submit to the AI system may be processed by third-party AI providers under their respective privacy policies.

5. Lead Data and Privacy

The Platform enables you to store and manage lead contact information. You agree to:

• Collect and process lead data only with appropriate consent and in compliance with applicable privacy laws (CCPA, GDPR where applicable, CAN-SPAM Act).
• Not store sensitive financial information (Social Security Numbers, full account numbers, credit reports) in the Platform's lead notes or fields.
• Maintain appropriate security practices when accessing the Platform to protect lead contact information.
• Honor any opt-out or data deletion requests from leads in a timely manner.

6. Intellectual Property

Your Content: You retain all ownership rights to the content you create, upload, or store on the Platform. By using the Platform, you grant us a limited, non-exclusive license to store and process your content solely to provide the Platform's services.

Platform IP: The Platform, including its design, code, features, and AI systems, is the exclusive intellectual property of Zion Noah Capital. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written consent.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Guarantees of uninterrupted, error-free, or secure access to the Platform
• Accuracy or completeness of AI-generated content or analytics data
• Continuous availability of third-party social media API integrations

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZION NOAH CAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR REPUTATIONAL HARM, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Zion Noah Capital, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) content you publish through the Platform; (c) your violation of these Terms; or (d) your violation of any applicable laws or regulations, including lending advertising laws.

10. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms or applicable law. Upon termination, your right to use the Platform ceases immediately. Sections 5 (Lead Data), 6 (IP), 7 (Disclaimers), 8 (Liability), and 9 (Indemnification) survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Zion Noah Capital is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, by email. Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms.
